Womble Expands Financial Services Bench in SC

Womble Bond Dickinson announced that Matthew S. Morgan has joined the firm’s Finance, Bankruptcy, and Restructuring practice in Charleston. A seasoned financial services attorney, he has over two decades of experience working in both Am Law 100 firms and leading buy-side and sell-side financial institutions in London.

Morgan has extensive experience with sophisticated lending transactions, including subordinated, mezzanine, and more senior financings backed by traditional and non-traditional security packages. He also represents clients in special situations investments and other opportunistic financing scenarios, such as deals involving ad hoc committees and rescue loans. His lending practice includes loan workouts, restructurings, and associated financing opportunities. That experience extends to secondary loan trading of distressed credit exposures, for which he often creates bespoke trading documentation.

Most recently, Morgan was a partner in the Charleston office of Moore & Van Allen. Prior to that, he was a member of the special situations group at a European investment bank with a direct lending and investment mandate complementing its credit trading business. There, he structured and managed each of the direct lending transactions originated for the business, which varied from super senior to subordinated loans. He was also responsible for managing each restructuring situation for the positions held on book, which varied from bespoke restructurings of more direct exposures to situations involving multiple parties and different levels of credit exposures.

“In addition to his long-standing UK connections, Matt brings a wealth of regional banking relationships and front-end lending experience,” said Charleston Office Managing Partner Cordes Ford. “He is well-known and highly regarded in the industry – qualities that will contribute to both the growth of our Financial Services practice and the Charleston office.”

Previously, Morgan also served as in-house counsel for Citigroup’s European Credit Desks. Based on the trading desk, he advised on the documentation, structure, trading, and other legal aspects of the credit and private equity positions that were traded by the desks, worked with the analyst teams on the documentation and management of the restructuring credits and corresponding new money opportunities, drafted non-standard and first-instance trading documentation, and acted as the desk legal representative for the dispute resolution efforts in contentious situations.

Morgan earned a J.D. from Southern Methodist University School of Law, an LL.M. from the University of London, and a B.A. from Hampden-Sydney College.
