Fifth Street Finance Corp. and Fifth Street Senior Floating Rate Corp. announced they have co-invested in a $195 million one-stop financing facility and an equity co-investment in conjunction with Veritas Capital's ("Veritas") acquisition of BeyondTrust, Inc. ("BeyondTrust"). BeyondTrust is a cybersecurity software provider delivering an essential solution to securing critical information technology infrastructure. It is the only provider of context-aware solutions for privilege and vulnerability management in the cybersecurity industry. The financing facility consists of a first lien term loan along with a revolver that was undrawn at close. Fifth Street Management LLC, FSC's and FSFR's investment adviser, served as Administrative Agent for the transaction.
The BeyondTrust transaction represents the Fifth Street platform's third transaction with Veritas. Veritas is a leading private equity firm based in New York, NY with a focus on investing in middle market companies supported largely by a government-related customer base in industries such as aerospace & defense, communications, education, energy, government services, healthcare, national security and technology.
The transaction marks the first time that FSC and FSFR have co-invested under the exemptive order recently granted by the Securities and Exchange Commission. The ability to co-invest with each other, as well as certain other private funds managed by Fifth Street Management, provides the Fifth Street platform with greater scale, investment flexibility and the ability to hold up to $250 million per transaction.
