SSG Advises LuckyVitamin in Sale of Substantially all of its Assets

SSG Capital Advisors, LLC (SSG) acted as the investment banker to LuckyVitamin, LLC in the sale of substantially all of its assets to Lucky Health Group, Inc. ("LHG"). The transaction closed in September 2019.

Headquartered outside of Philadelphia, Pennsylvania, LuckyVitamin is a leading e-commerce platform for health, natural and organic products in the U.S. and internationally. The business is diversified in popular wellness categories that are found in traditional health food and natural grocery stores. In addition to the vast product offerings, LuckyVitamin offers a robust library of online educational content that is supported by a team of uniquely qualified expert wellness consultants with the goal of providing personalized sales support and a differentiated level of customer support.

While the Company has had a strong history of successful operations, it has been restricted in recent years by insufficient investment to execute on its growth plan. As such, additional capital investment was needed to strengthen its capital base, improve liquidity and solidify its operations for future growth and profitability.

SSG was retained by LuckyVitamin to conduct a comprehensive marketing process and solicit offers for the Company. The expedited process attracted interest from multiple parties that engaged in a thorough review of the business, with LHG's offer ultimately providing the highest and best price. SSG's industry knowledge and experience running efficient sale processes enabled the Company to continue operations with its founder led management, preserve hundreds of jobs and maximize value for all stakeholders.
