Amherst Partners announced the sale of Precision Aero Corporation to H-D Advanced Manufacturing Company. Amherst acted as the exclusive financial advisor to Precision Aero in connection with the transaction.
Precision Aero, based in Troy, Ohio, is a leading manufacturer of extensively engineered, high-precision, machined aircraft components. The company was founded in 1962 and primarily serves the aircraft (both commercial and military) and commercial vehicle markets. Precision Aero pioneered the manufacturing process of its core product, the fusible plug. Fusible plugs are safety-critical, thermal pressure relief devices used in wheel and brake assemblies on virtually all commercial aircraft globally. In addition to fusible plugs, the Company manufactures washers, adjuster balls, bushings, spacers and pistons, among other components.
H-D manufactures severe duty, high-precision products for "mission critical" applications. Precision Aero represents the seventh acquisition since H-D was formed in 2012 by private equity firms The Riverside Company, Hicks Equity Partners and Weinberg Capital Group.
Precision Aero engaged Amherst Partners to advise on the sale of the company. Amherst managed a competitive sale process focused on (i) targeting a select group of prospective buyers with sufficient financial wherewithal and demonstrated experience in the aerospace sector, (ii) providing descriptive information highlighting the Company's favorable strategic position and attractive growth prospects and (iii) negotiating with multiple buyer prospects to achieve optimal terms and conditions for the seller. Ultimately, a transaction was completed with H-D based, in large part, on the seller's belief that H-D's resources would provide attractive future opportunities for the company's customers and employees. Thompson Hine provided legal advice to Precision Aero.
